A law firm is seeking a dedicated and experienced Real Estate Associate Attorney for its New York City office. The ideal candidate should possess 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and commercial mortgage-backed securities (CMBS). The position requires excellent academic credentials, alongside strong verbal, writing, and interpersonal skills, to effectively navigate complex real estate transactions and provide exceptional client service.

Key Responsibilities:

  • Provide legal representation in real estate financing transactions, including drafting and negotiating loan documents, mortgages, and security agreements.
  • Advise lenders on complex financing matters, with a focus on co-lender and intercreditor agreements.
  • Manage and advise on commercial mortgage-backed securities (CMBS) transactions, ensuring legal and regulatory compliance.
  • Conduct thorough due diligence, including title and survey reviews, environmental assessments, and property document analysis.
  • Draft, review, and negotiate legal documents such as promissory notes, deeds of trust, security agreements, and other real estate-related agreements.
  • Structure and execute real estate financing transactions to meet client goals, ensuring all legal and financial aspects are addressed.
  • Lead negotiations and liaise with clients, opposing counsel, and stakeholders to resolve transaction-related issues.
  • Coordinate transaction closings, working with internal and external parties to ensure smooth and timely execution.
  • Stay informed on the latest developments in real estate law, financing, and market trends, advising clients accordingly.
  • Handle post-closing matters and provide ongoing legal support related to real estate financing and compliance.

Requirements:

  • Experience: 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions.
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Licensed to practice law in New York or eligible to waive into the New York Bar.
  • Academic Credentials: Strong academic record required.

Certifications:

  • Active and in good standing with the New York State Bar.

Skills:

  • Strong legal research, drafting, and analytical skills, especially in real estate financing and lender representation.
  • Excellent verbal and written communication skills, with the ability to explain complex legal concepts in a clear, concise manner.
  • Proficiency in negotiating and managing complex real estate and financial transactions.
  • Strong organizational and project management skills, with the ability to handle multiple, high-stakes transactions simultaneously.
  • Ability to collaborate with a team and work independently, providing strategic legal guidance to clients.
  • High attention to detail, professionalism, and a commitment to client service.

Preferred Qualifications:

  • Experience with New York real estate laws, zoning regulations, and local market practices is a plus.
  • Knowledge of environmental, land use, or zoning issues related to real estate transactions is advantageous.
