A law firm in Atlanta is seeking a highly experienced Mid/Senior-level Securities Associate Attorney to join its dynamic Securities Team and Financial Institutions Team. The candidate will play a pivotal role in supporting public company clients, managing securities law matters, and providing valuable expertise in capital markets projects, M&A, and compliance with federal and state securities laws.

 

Duties:

  • Support public company clients in meeting regular periodic reporting requirements and ensure compliance with federal and state securities laws, particularly the '34 Act reporting.
  • Assisted in capital markets projects, including equity and debt offerings, and provided comprehensive support for securities offerings and capital markets transactions.
  • Draft, review, or advice on routine SEC filings, including Form 10-K, Form 10-Q, Form 8-K, Proxy Statements, and Section 16 filings.
  • Provide guidance on general securities disclosure matters, such as press releases, earnings releases, and investor presentations.
  • Prepare and periodically update corporate governance and related policies, including Corporate Governance Guidelines, Clawback Policies, and Insider Trading Policies.
  • Advise clients on compliance with NYSE and Nasdaq requirements, including annual and periodic updates.
  • Assist in the preparation and planning of annual stockholder meetings and shareholder engagements.
  • Work with the firm's securities team to draft and publish blog entries and alerts on material securities law developments.
  • Coordinate training on securities and corporate governance matters, including insider trading and Regulation FD.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in the state of Georgia.
  • 5+ years of direct experience in securities law, capital markets, and general M&A.

 

Skills:

  • Strong knowledge of federal and state securities laws, particularly the '34 Act reporting.
  • Experience in capital markets transactions, including equity and debt offerings.
  • Ability to deal directly with clients and serve as a front-line support for securities law matters.
  • Excellent drafting and reviewing skills for SEC filings and corporate governance documents.
  • Familiarity with NYSE and Nasdaq requirements.
  • Effective communication and training skills for client interactions and internal team coordination.
  • A proactive approach to staying abreast of material securities law developments.
