A law firm is seeking a Private Equity Finance Attorney for their office in Atlanta, Georgia. The ideal candidate will have 1+ years of private equity sponsored leveraged acquisition finance transactions experience. The candidate will work on a broad range of private equity sponsored financing transactions, including traditional leveraged financings, term loan and revolver facilities, cash flow and asset based loan facilities, mezzanine credit facilities as well as a variety of financings for portfolio companies of our private equity clients. They will be responsible for managing closing processes, reviewing and drafting loan documents, including commitment letters, term sheets, loan agreements, and collateral documents. Prior experience with borrower-side representation is preferred, but lender-side representation (especially with private credit lenders) is also desired. Private equity borrower-side representation is a plus.

 

Duties:

  • Manage closing processes for private equity sponsored financing transactions
  • Review and draft loan documents, including commitment letters, term sheets, loan agreements, and collateral documents
  • Communicate effectively, verbally and in writing, with clients, lawyers, business professionals, and third parties
  • Produce deliverables, answer phone calls, and reply to correspondence in an efficient and responsive manner
  • Provide timely, accurate, and quality work product
  • Successfully meet deadlines, expectations, and perform work duties as required
  • Foster positive work relationships
  • Comply with all firm policies and practices
  • Engage in both physical and sedentary activity, such as working at a computer for extended periods of time, participating in digital/virtual conference calls, and attending meetings as needed
  • Perform all other duties, tasks, or projects as assigned

 

Requirements:

  • Admitted to practice in the state of Georgia
  • Direct and applicable AmLaw 100 law firm or SEC experience
  • J.D. degree

 

Skills:

  • Strong understanding of private equity sponsored financing transactions
  • Excellent communication skills, both verbal and written
  • Ability to manage multiple tasks and priorities effectively
  • Attention to detail and accuracy in work product
  • Proficiency in legal research and analysis
  • Team player with the ability to foster positive work relationships
  • Proficient in Microsoft Office suite and legal research databases
