Job Details:

  • Experience: 3+ years of corporate and securities experience in a large regional or national law firm.
  • Education: Outstanding academic credentials.
  • License: Must be licensed to practice law in the jurisdiction in which located or have the ability to become licensed as soon as possible.

Duties:

  • Handle 1933 Act equity and debt securities offerings.
  • Manage 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K, and 10-Q, and Section 16 reporting.
  • Advise issuers on public company corporate governance matters.
  • Demonstrate a strong understanding of national securities exchange regulations.
  • Familiarity with key principles of executive and director compensation.
  • Provide general corporate counseling, covering ordinary course public company activities to significant transactions.

Requirements:

  • Minimum of 3 years of corporate and securities experience.
  • Outstanding academic credentials.
  • Licensed to practice law in the jurisdiction in which located or ability to become licensed.
