Job Overview:
A leading national law firm is seeking an experienced Counsel to join its Pensions, Benefits & Investments group. This role offers the opportunity to work on high-value private fund and public market investment transactions on behalf of both institutional investors and fund managers. The ideal candidate will bring strong experience across various asset classes, demonstrate the ability to lead complex matters independently, and thrive in a collaborative legal environment. This is a non-partner track position, with placement available in any of the firm’s U.S. offices.

Location:

  • New York City, NY

Duties:

  • Advise clients on private fund investments across multiple asset classes

  • Handle public market investment transactions involving both investor and manager perspectives

  • Draft, review, and negotiate fund agreements, side letters, and other related documentation

  • Provide legal counsel on fiduciary duties, regulatory issues, and fund governance

  • Take ownership of significant deal components and manage transactions from inception to completion

  • Collaborate with attorneys across departments to deliver integrated legal advice

  • Support clients in achieving strategic investment and compliance goals

Requirements:

  • Minimum of 8 years of legal experience in pensions, benefits, private funds, or investment law

  • Proven track record handling complex private fund and/or public market transactions

  • Ability to manage a high volume of matters independently and efficiently

  • Experience advising both fund managers and institutional investors preferred

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic performance preferred

Certifications:

  • Admission to the bar in the state of intended practice is required

Skills:

  • Deep understanding of private fund structures, investment agreements, and asset class-specific issues

  • Exceptional drafting, negotiation, and analytical skills

  • Strong client communication and relationship management abilities

  • Ability to manage competing priorities in a fast-paced, collaborative environment

  • Attention to detail and strategic problem-solving approach
