Job Overview:
A prominent national law firm is seeking an experienced Corporate Securities Attorney to join its Corporate Practice Group. This position is open to attorneys with 5 to 12 years of experience in securities law and offers the flexibility to work from multiple U.S. office locations or remotely. The role focuses on regulatory compliance, public company reporting, and securities filings for clients in various industries. The ideal candidate will have a strong background in securities matters and a commitment to delivering practical, business-oriented legal advice.

Location:

  • Washington, DC

Duties:

  • Draft and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities compliance and public company reporting obligations

  • Prepare periodic filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements

  • Support public and private offerings, including IPOs and secondary offerings

  • Counsel on corporate governance and board-related issues

  • Monitor legal and regulatory changes impacting securities laws

  • Collaborate with legal teams on corporate transactions and strategic matters

Requirements:

  • 5–12 years of experience in corporate and securities law

  • Proven track record with SEC filings and compliance issues

  • Experience advising public companies on disclosure and reporting obligations

  • Strong client service orientation and organizational skills

  • Licensed in the attorney’s home jurisdiction or eligible for admission without examination

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in a U.S. jurisdiction

Skills:

  • Excellent legal drafting, research, and communication skills

  • Deep understanding of U.S. securities regulations and corporate governance practices

  • Ability to manage multiple matters efficiently and independently

  • Effective collaborator with internal teams and external clients

  • Detail-oriented with the ability to deliver practical and timely legal solutions
