Job Title: Finance And Restructuring Corporate Trust Associate Attorney

Job Overview:
A Washington, D.C.-based law firm is seeking a mid-level associate to join its Finance and Restructuring practice group, focusing on corporate trust matters. The role involves working closely with institutional clients on complex financial transactions, including structured products, municipal finance, and corporate debt offerings. This position offers a hybrid work arrangement and an opportunity to join a team recognized for its depth of experience across the financial services sector.

Duties:

  • Represent institutional clients in corporate trust transactions, including:

    • Structured finance (e.g., RMBS, CMBS, ABS)

    • Municipal and corporate debt issuances

    • Finance facilities and custodial arrangements

  • Draft, review, and negotiate transactional documents, including:

    • Trust indentures

    • Custodial, agency, account control, and servicing agreements

    • Loan documents and disclosure agreements

    • Pooling and master service agreements

  • Manage a portfolio of transactions from initial negotiation through closing

  • Collaborate with internal and client-side teams to ensure the smooth execution of deals

  • Conduct a thorough analysis of complex legal issues related to trust structures

  • Maintain strong client communications and ensure a high level of client service

Requirements:

  • 2-4 years of experience handling finance or corporate trust transactions

  • Proficiency in preparing and negotiating sophisticated agreements

  • Strong drafting and analytical abilities

  • Ability to manage multiple matters concurrently under time-sensitive conditions

  • Demonstrated aptitude for team collaboration and high-quality client service

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to at least one U.S. State Bar; active and in good standing

Skills:

  • Excellent legal writing and editing capabilities

  • Strong negotiation and document analysis skills

  • Effective communication with clients and colleagues

  • Detail-oriented and highly organized approach to transactional work
