Job Overview: A law firm based in Washington, DC, is seeking an experienced Corporate Governance Lateral Counsel to provide expertise in advising on the technical aspects of corporate governance best practices, securities laws, stock exchange corporate governance standards, proxy advisory firm policies, bylaws, and other governance policies and codes of conduct.

Duties:

  • Advise clients on corporate governance matters, ensuring compliance with relevant laws and regulations.
  • Conduct legal research to stay abreast of changes in corporate governance best practices and securities laws.
  • Draft and review corporate governance documents, including bylaws, policies, and codes of conduct.
  • Collaborate with internal teams and clients to provide strategic guidance on governance issues.
  • Assist in the development and implementation of governance training programs.
  • Stay informed about proxy advisory firm policies and incorporate them into governance recommendations.

Requirements:

  • Minimum of 8 years of legal experience, focusing on corporate governance.
  • Previous experience in a law firm is preferred.
  • Strong understanding of securities laws and stock exchange corporate governance standards.
  • Detail-oriented with a keen eye for accuracy in legal documents.
  • Excellent writing and research skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Bar admission in the relevant jurisdiction.

Skills:

  • In-depth knowledge of corporate governance best practices.
  • Ability to interpret and apply securities laws and stock exchange regulations.
