Job Overview:
A respected, multi-office law firm is seeking a Corporate Associate with 3–5 years of experience in investment management, private funds, and corporate transactional work. This role provides the opportunity to work with a highly regarded Private Equity & Finance team, focusing on fund formation, regulatory compliance, and a wide array of sophisticated transactional matters. Ideal candidates will bring a strong background in advising investment managers and institutional clients, and possess excellent drafting and problem-solving skills. This position supports flexible work arrangements with a hybrid model and offers clear pathways for professional growth.

Location:

  • New York City, NY

Duties:

  • Advise on the formation and structuring of open- and closed-end private investment funds

  • Counsel clients on investment adviser regulatory compliance

  • Represent institutional investors and family offices in private equity and venture capital transactions

  • Negotiate and draft documentation for:

    • Strategic joint ventures

    • Mergers and acquisitions

    • General corporate transactions

  • Prepare and review investment-related documents, including:

    • Private placement memoranda (PPMs)

    • Investment management and sub-advisory agreements

    • Fund operating agreements (LLCs, LPs)

    • Subscription agreements and side letters

  • Support investment managers in developing compliant marketing materials

  • Collaborate with internal legal teams to deliver comprehensive legal services

Requirements:

  • 3–5 years of relevant legal experience in investment management and private fund formation

  • Demonstrated experience in corporate transactional work and fund documentation

  • Strong interpersonal, communication, and client service skills

  • Ability to work both independently and in a team environment

  • Skilled in developing practical legal solutions and managing complex matters

  • Active bar membership in good standing in the jurisdiction of practice

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the bar and active good standing in applicable state(s)

Skills:

  • Expertise in private equity, venture capital, and joint venture structuring

  • In-depth understanding of investment adviser regulations and compliance

  • Proficiency in drafting a wide range of fund and corporate documents

  • Ability to manage client relationships and communicate complex ideas clearly

  • Strong analytical and organizational skills

  • Experience advising family offices and institutional investors preferred
