Job Overview:
A leading law firm is actively seeking a mid-level Associate Attorney with a minimum of three years of experience in private investment fund formation. The ideal candidate will have hands-on experience advising both sponsors and investors, as well as involvement in complex fund formation transactions and secondary deals. This is a compelling opportunity for a corporate-focused attorney to join a high-caliber team working on sophisticated fund structures and investment vehicles.

Location:

  • New York, NY

Duties:

  • Advise clients on the formation and structuring of private investment funds

  • Represent sponsors and investors in fund formation transactions

  • Handle sponsor-level matters including general partner and management company structuring

  • Assist with secondary transactions involving limited partner interests and/or portfolio company interests

  • Draft and negotiate fund documentation, side letters, and related agreements

  • Support clients through all stages of the fund lifecycle

  • Collaborate with colleagues across corporate and regulatory practices

Requirements:

  • Minimum of 3 years of fund formation experience

  • Demonstrated expertise representing both fund sponsors and investors

  • Substantial experience in fund formation, sponsor-level structuring, and secondary transactions

  • Prior experience in the corporate department of a national or international law firm preferred

  • High attention to detail and ability to manage multiple sophisticated matters concurrently

Education:

  • Juris Doctor (JD) from a nationally recognized, accredited law school

  • Strong academic record required

Certifications:

  • Admission to the New York State Bar (or eligibility for admission via reciprocity or other accepted method)

Skills:

  • Strong legal drafting and negotiation skills

  • Proficiency in fund formation documentation and investor communications

  • Excellent verbal and written communication abilities

  • Team-oriented mindset with the ability to work independently when necessary

  • Effective time management and organizational skills

  • Familiarity with current legal trends and compliance issues in fund formation
