Job Overview

An established national law firm is seeking a Corporate Trust Associate to join its Finance & Restructuring practice. This role focuses on representing financial institutions and corporate trust clients in a broad range of transactional matters, including structured finance, municipal and corporate debt, and custody arrangements. The ideal candidate will bring strong drafting, negotiation, and analytical skills to a high-performing, collaborative legal team.

Location

Duties

  • Represent corporate trust businesses and financial institutions in various transactional matters

  • Advise on transactions involving:

    • Structured finance (RMBS, CMBS, ABS)

    • Municipal and corporate debt issuances

    • Finance facilities

    • Document custody

  • Draft, review, and negotiate a wide range of agreements, including:

    • Trust indentures

    • Loan agreements

    • Account control and custodial agreements

    • Pooling and servicing agreements

    • Disbursement, master services, and agency agreements

    • Non-disclosure and other related contracts

  • Collaborate with attorneys, clients, and internal teams to ensure efficient execution of transactions

  • Manage multiple assignments simultaneously in a deadline-driven environment

Requirements

  • 2–4 years of transactional legal experience, ideally within a finance or restructuring practice

  • Demonstrated experience with drafting and negotiating complex agreements

  • Proven ability to handle multiple transactions and competing priorities

  • Strong client service orientation and attention to detail

  • Excellent communication and project management skills

Education

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic credentials preferred

Certifications

  • Admission to practice in at least one U.S. jurisdiction

  • Eligibility for prompt admission to the bar in the office location of choice if not already admitted

Skills

  • Strong drafting and negotiation skills in finance-related contracts

  • Ability to work independently and collaboratively as part of a team

  • Sophisticated legal analysis and writing abilities

  • Proficiency in managing complex client communications and expectations

  • Highly organized with the capacity to prioritize and meet tight deadlines
