Job Overview:
A nationally recognized law firm is seeking a Corporate Securities Attorney with 5 to 12 years of experience to join its Corporate Practice Group. The ideal candidate will support a variety of securities law and regulatory matters for public and private companies. This position offers a flexible work environment across multiple office locations in the U.S. and the opportunity to play a key role in capital markets compliance, SEC filings, and corporate governance initiatives.

Location:

  • Princeton, NJ

Duties:

  • Prepare and file required documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities regulations and public disclosure obligations

  • Draft registration statements, periodic reports (10-K, 10-Q, 8-K), and proxy statements

  • Support capital markets transactions including IPOs, secondary offerings, and private placements

  • Counsel clients on board governance, fiduciary duties, and compliance best practices

  • Monitor evolving legal developments in securities law and update client strategies accordingly

  • Collaborate with attorneys across departments on integrated corporate and transactional matters

Requirements:

  • 5–12 years of corporate legal experience, with a focus on securities law

  • In-depth knowledge of SEC regulations, disclosure rules, and exchange listing standards

  • Ability to manage multiple projects under tight deadlines

  • Demonstrated client service excellence and responsiveness

  • Strong work ethic and proactive approach to legal problem solving

  • Must be licensed in home jurisdiction or eligible for admission without examination

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in a U.S. jurisdiction (Required)

Skills:

  • Strong legal research, drafting, and analytical skills

  • Proficient in preparing complex securities filings

  • Effective communicator with strong interpersonal skills

  • Highly organized, detail-oriented, and self-motivated

  • Comfortable working in a collaborative, cross-functional team environment
