Funds and Securities Attorney

A law firm is currently seeking a qualified Funds and Securities Attorney to join their team in St. Cloud. The ideal candidate should have experience or a strong interest in working with public companies, startups, founders, and venture capital firms. The role involves handling company formation, corporate governance, securities law, angel investments, and venture capital financings.

Duties:

• Assist clients in company formation and corporate governance matters.
• Provide legal counsel on securities law compliance for public companies.
• Handle angel investments and venture capital financings for startups and founders.
• Conduct due diligence in investment transactions.
• Draft and review legal documents related to fund formation and securities offerings.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Bar in the relevant jurisdiction.
• 3+ years of experience in securities and private investment fund formation.
• Strong academic credentials.
