Duties

  • Advise clients on shareholder engagement and activism-related matters

  • Handle complex corporate governance and securities law issues

  • Represent public and private companies in mergers, acquisitions, and other transactional matters

  • Collaborate with attorneys across Capital Markets and M&A teams on cross-functional matters

  • Draft and review relevant transaction documentation and regulatory filings

  • Stay current with legal and market developments in transactional and corporate governance law

Requirements

  • 3–6 years of experience in corporate, securities, or M&A law

  • Demonstrated interest in shareholder engagement and activism

  • Prior experience working in a high-performing, fast-paced legal environment

  • Ability to manage multiple complex matters concurrently

  • Excellent client service orientation and communication skills

Education

  • Juris Doctor (JD) from a top-tier accredited law school

Certifications

  • Active membership in the New York Bar

Skills

  • Deep knowledge of securities law, corporate governance, and M&A structures

  • Superior legal research, writing, and drafting skills
