Duties:

  • Draft and negotiate definitive and ancillary documents for mergers, acquisitions, and other corporate transactions.
  • Manage deal processes, including due diligence, transaction structuring, and closing activities.
  • Develop and maintain client relationships, providing strategic legal advice and guidance throughout the M&A process.
  • Supervise and mentor junior associates and legal staff working on M&A matters.
  • Collaborate with other attorneys, partners, and stakeholders to deliver comprehensive legal solutions to clients.
  • Handle day-to-day demands and workflow requirements associated with M&A transactions.
  • Conduct legal research and analysis related to complex M&A issues.

Requirements:

  • 4-6 years of experience practicing law, focusing on mergers and acquisitions.
  • Strong M&A skills, including drafting and negotiating transaction documents, managing deal processes, and client relationships.
  • High level of academic achievement from a nationally recognized law school.
  • Excellent communication, negotiation, and problem-solving skills.
  • Ability to work effectively both independently and as part of a team.
  • Experience supervising and mentoring junior associates.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar in California.
