A law firm in Santa Monica is seeking a Mid-level Life Science Corporate (Lifecycle) Associate Attorney with 2-4 years of experience. The ideal candidate will work with venture-backed private and public companies, participating in various transactions such as equity financing, IPOs, M&A, and corporate governance. The role requires a strong interest in life sciences work and the ability to manage substantial components of transactions independently. Outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills are essential.

Duties:

• Work with venture-backed private and public life sciences companies.
• Participate in a range of transactions, including equity financing, IPOs, M&A, and corporate governance.
• Independently manage substantial components of transactions.
• Collaborate effectively within teams to achieve transactional goals.
• Provide legal counsel on corporate and transactional matters.
• Draft, review, and negotiate transactional documents.
• Work with life sciences companies, demonstrating industry-specific knowledge.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• 2-4 years of experience in a broad range of corporate and transactional matters.
• Experience in seed and venture capital transactions, corporate governance, mergers and acquisitions, private and public offerings of securities, and SEC reporting.
• Strong interest in life sciences work.
• Comparable law firm experience.
• Outstanding academic credentials.
• Excellent written and verbal communication skills.
