Duties:

  • Provide legal counsel and strategic advice to clients on various employee benefits and executive compensation matters.
  • Draft, review, and negotiate executive compensation agreements, including employment contracts, equity compensation plans, and severance agreements.
  • Advise clients on qualified retirement plans, non-qualified deferred compensation arrangements, and health and welfare benefit plans.
  • Assist clients in navigating complex regulatory compliance issues related to ERISA, IRS, and other relevant laws and regulations.
  • Participate in due diligence reviews and provide legal support for mergers, acquisitions, and other corporate transactions.
  • Handle disputes and litigation related to employee benefits and executive compensation matters when necessary.

Requirements:

  • Minimum of 6 years of experience practicing law, focusing on employee benefits and executive compensation.
  • Extensive experience working on executive compensation matters, including equity compensation, deferred compensation, and incentive plans.
  • Strong understanding of qualified retirement plans, health and welfare benefit plans, and ERISA compliance.
  • Excellent academic record from a reputable law school.
  • Admission to the State Bar of California is required.
  • Demonstrated commitment to providing high-quality client service and delivering practical legal solutions.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Membership in good standing with the State Bar of California.
