Job Title: Mid-Level Associate Attorney – Finance (Borrower-Side)

Job Overview

A prestigious San Diego, CA law firm is seeking a skilled mid-level associate attorney to contribute to its expanding finance practice. This role focuses on borrower-side private credit, acquisition finance, and leveraged finance transactions. The ideal candidate will be critical in advising clients on complex financing arrangements within a dynamic legal team.

Duties

  • Provide legal counsel to clients on borrower-side private credit, acquisition finance, and leveraged finance transactions.
  • Draft, review, and negotiate credit agreements, security documents, and other finance-related contracts.
  • Collaborate with a multidisciplinary team to execute financing transactions efficiently.
  • Conduct due diligence and identify legal risks in financing arrangements.
  • Support clients in structuring and closing sponsor-side private equity acquisition financings (preferred but not required).
  • Stay updated on relevant laws and regulations to provide sound legal advice.

Requirements

  • Minimum of 1 year of relevant legal experience in borrower-side private credit, acquisition finance, or leveraged finance.
  • Experience with sponsor-side private equity acquisition financings is advantageous.
  • Strong drafting, analytical, and negotiation skills.
  • Proven ability to manage multiple transactions and deadlines simultaneously.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the California State Bar or eligibility to practice in California.

Certifications

  • Licensed to practice law in the United States, preferably California.

Skills

  • Excellent written and verbal communication abilities.
  • Keen attention to detail and a proactive approach to problem-solving.
  • Strong interpersonal skills for effective client interactions.
  • Ability to work both independently and collaboratively within a team.
