Job Overview:
A well-established law firm is seeking a Mid-Level Associate to join its Corporate practice group, focusing on emerging growth companies and venture capital transactions. This role involves representing institutional investors and startup companies in financing transactions and mergers & acquisitions, as well as advising on general corporate matters. The position offers a hybrid work environment with an expectation of in-office presence three days per week. This search is being conducted by a legal recruiting firm on behalf of the hiring organization.

Location:

  • San Diego, CA

Duties:

  • Represent emerging growth companies throughout their corporate life cycle

  • Advise institutional investors and issuers in venture capital financings

  • Handle M&A transactions involving early-stage and venture-backed companies

  • Provide counsel on day-to-day corporate legal matters including governance, equity, and compliance

  • Collaborate with internal legal teams and clients on complex deal structures

  • Manage client communications and expectations

  • Deliver timely and accurate legal documentation and analysis

Requirements:

  • Minimum 4 years of experience in venture capital and emerging growth company representation

  • Prior experience with M&A transactions

  • Experience advising on corporate structure and governance

  • Strong preference for candidates with AmLaw 100 law firm experience

  • Demonstrated ability to manage complex legal matters independently and in teams

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Active license to practice law in California (or eligibility for prompt admission)

Skills:

  • Excellent legal research, analytical, and drafting capabilities

  • Strong attention to detail and organizational skills

  • Business acumen and sound judgment

  • Ability to work effectively both independently and collaboratively

  • Strong oral and written communication skills

  • Conceptual thinking and problem-solving
