Duties

  • Draft and negotiate definitive and ancillary M&A transaction documents.
  • Manage the deal process, ensuring all steps are executed smoothly and efficiently.
  • Build and maintain strong client relationships, providing legal advice and strategic counsel.
  • Supervise and mentor junior associates, providing guidance on M&A matters.
  • Handle the day-to-day demands of M&A transactions, balancing multiple matters simultaneously.
  • Collaborate with senior attorneys and clients to develop and implement strategies for complex transactions.

Requirements

  • 4-6 years of experience in M&A law, including both public and private transactions.
  • Strong experience drafting and negotiating key M&A documents, such as purchase agreements.
  • Proven ability to manage deal processes and client relationships independently.
  • Experience in supervising and mentoring junior associates.
  • Ability to handle high-pressure situations and meet deadlines.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Admission to the State Bar (California).

Skills

  • Expertise in M&A transactions, including deal structuring, negotiation, and documentation.
  • Strong legal research, writing, and analytical skills.
  • Excellent communication and client relationship management abilities.
  • Ability to supervise junior associates and manage multiple tasks effectively.
  • Strong academic background from a top-tier law school.
