Job Overview: A law firm in Atlanta, GA, is seeking a Mid-Level Emerging Companies/Venture Capital Corporate Associate Attorney with a strong background in corporate transactional work, particularly in areas such as Mergers and Acquisitions, Venture Capital Financings, and Private Equity Financings and Acquisitions.

Duties:

  • Conduct legal research and analysis on corporate transactions, including mergers and acquisitions, venture capital financings, and private equity transactions.
  • Draft and review transactional documents, including merger agreements, stock purchase agreements, investment documents, and corporate governance documents.
  • Assist in due diligence processes for corporate transactions.
  • Provide legal advice and support to clients on general corporate matters and corporate governance issues.
  • Communicate effectively with clients, partners, and other stakeholders.

Requirements:

  • Minimum of 2 years of meaningful corporate transactional experience in a law firm setting.
  • Experience in Mergers and Acquisitions, Venture Capital Financings, or Private Equity Financings and Acquisitions is required.
  • Strong understanding of general corporate transactions and corporate governance principles.
  • Excellent writing, analytical, and communication skills.
  • Academic excellence, including a strong law school performance.
  • Membership in Good Standing of the State Bar of Georgia.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of Georgia.

Skills:

  • Proficiency in legal research methods and tools.
  • Ability to draft and review complex legal documents with attention to detail.
  • Strong interpersonal skills for effective communication with clients and colleagues.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Knowledge of relevant laws and regulations about corporate transactions.
