The ideal candidate will play a crucial role in analyzing transactions for competition issues, handling merger control filing requirements, and providing substantive analysis, procedural expertise, and filing logistics, particularly in accordance with the Hart-Scott-Rodino (“HSR”) Act and implementing Rules.

Duties:

  • Conduct comprehensive analyses of transactions to identify and address competition issues.
  • Manage merger control filing requirements, with a focus on compliance with the HSR Act and its implementing Rules.
  • Provide substantive analysis of antitrust matters, including procedural issues and filing logistics.
  • Advocate before the DOJ and FTC in antitrust matters, with a focus on technology, life sciences, and private equity transactions.
  • Collaborate with cross-functional teams to ensure legal compliance in various sectors.

Requirements:

  • Demonstrated experience in analyzing transactions for competition issues and managing merger control filing requirements.
  • Proven expertise with the Hart-Scott-Rodino (“HSR”) Act and its implementing Rules, including substantial HSR filing experience.
  • Background in advocating before the DOJ and FTC in antitrust matters.
  • Familiarity with technology, life sciences, and private equity transactions in the context of antitrust.
  • Outstanding academic credentials and comparable law firm experience.
  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the Pennsylvania Bar (or eligibility to obtain admission promptly).
