Job Overview:
A prestigious law firm is seeking a highly qualified mid to senior-level Project Finance Associate Attorney with experience in finance, M&A, and/or development of energy and infrastructure projects. This is a fantastic opportunity to join a busy, growing sponsor-side energy and infrastructure team. Candidates will gain exposure to a wide range of industries, including renewable and conventional power, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers, with significant opportunities for career advancement and leadership within the firm.

Location:

  • Washington, D.C.

Duties:

  • Provide transactional legal support for large energy and infrastructure projects, including renewable and conventional power.
  • Draft and negotiate credit and security documentation, power purchase agreements, purchase and sale agreements, and merger documentation.
  • Lead closings for financings or acquisitions/dispositions in energy, power, and infrastructure sectors.
  • Assist clients with structuring and negotiating key project contracts, including power purchase agreements and related supply/offtake agreements.
  • Work on transactions across various industries, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Collaborate with senior team members and clients to develop innovative solutions for complex project finance transactions.

Requirements:

  • 4-6 years of transactional legal experience in project finance, M&A, and/or energy infrastructure projects.
  • Experience with finance, M&A, and project development, particularly in the energy sector.
  • Strong experience with drafting and negotiating project contracts, including power purchase agreements and related supply/offtake agreements.
  • Demonstrated experience with credit and security documentation and purchase and sale agreements.
  • Expertise in handling closings for financings or acquisitions/dispositions in the energy or infrastructure sectors.
  • Knowledge of a variety of industries beyond traditional wind, solar, and natural gas projects is a plus (e.g., hydrogen, carbon capture, battery storage, renewable natural gas, data centers).
  • Ability to work collaboratively and manage complex, multi-party projects.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the state bar (or eligible to practice in the jurisdiction).

Skills:

  • Strong legal research and writing skills.
  • Excellent negotiation and communication skills.
  • Ability to lead transactions and manage clients effectively.
  • Detail-oriented with strong organizational skills and the ability to manage multiple projects.
  • Proficiency in drafting, negotiating, and executing project finance documents.
