Baker Donelson Expands Louisiana Corporate Practice

Baker Donelson has grown its Louisiana Corporate practice with the addition of two attorneys in the Firm's New Orleans office: Jean-Luc M. Delpy and Catherine Briley.

Joining the Firm as of counsel, Mr. Delpy is an experienced corporate attorney who guides corporate clients through mergers, acquisitions, divestitures, joint ventures, commercial contracting and corporate governance matters. In addition, he has extensive experience with supply chain and commercial legal matters, including reviewing, drafting, and negotiating term sheets, letters of intent, master service agreements and other commercial contracts. Prior to joining Baker Donelson, Mr. Delpy worked at a Fortune 500 global power and utility company as in-house counsel supporting the mergers and acquisitions, supply chain, and other internal functional groups as well as managing corporate governance matters for subsidiary entities. In this role, Mr. Delpy delivered advice on a first-of-its-kind project through the negotiation of a retail supply agreement that allowed a technology company to power its data centers with renewable energy.

Ms. Briley, who joins as an associate, focuses on the representation of corporate borrowers, commercial banks, private equity firms, and other financial institutions in a variety of commercial lending transactions. A graduate of the Paul M. Hebert Law Center at Louisiana State University, she assists clients with corporate finance transactions, representing commercial lenders and borrowers. She is experienced in acquisition and leveraged finance, asset-based lending, reserve-based lending, and structured finance. She joins the firm from the Dallas office of a leading Texas law firm.

The addition of both Mr. Delpy and Ms. Briley provides additional depth in corporate transactions – an area where volume has soared in 2021.

New Orleans Managing Shareholder Kent Lambert said, "As one of the leading transactional practices in our region, our Corporate group continues to see substantial growth in transactional activity, including in the energy, technology, health care, life sciences, food and beverage, and hospitality industries. Adding Jean-Luc and Catherine will further enhance our ability to support our clients as they look to exploit new opportunities and consolidate positions in a dynamic economic period. The experience and in-house perspective that Jean-Luc brings from his tenure in the energy sector brings added depth to further support our work with a broadening consortium of clients committed to helping develop and implement innovative near- and long-term energy solutions."

Shareholder and Louisiana Corporate team lead Noah Kressler said, "Jean-Luc and Catherine enhance the breadth and depth of the already significant transactional and finance expertise we offer our clients across the country from right here in Louisiana. These talented attorneys are great additions to our team."

Baker Donelson's Louisiana Corporate practice regularly represents public and private companies in Louisiana and nationwide on a wide range of business and financing transactions, including mergers and acquisitions, debt and equity financings, securities law and governance matters.
