Corporate Attorney

A law firm located in Troy, MI, is seeking a Corporate Attorney with 3-6 years of experience in buy-side and sell-side mergers, acquisitions, and dispositions, as well as private and public securities law matters. The ideal candidate will have broad transactional experience and be committed to enhancing their knowledge in their practice area.

Job Overview:

The Corporate Attorney will assist members in representing clients in general corporate matters, including drafting and negotiating purchase agreements, handling securities law compliance matters, negotiating investment transactions, and drafting core company governance documents. This role requires strong communication skills, a desire to develop client relationships, and a commitment to staying informed about cutting-edge developments in corporate law.

Duties:

• Draft and negotiate purchase agreements and related documents
• Handle securities law compliance matters
• Negotiate investment transactions on behalf of both companies and investors
• Draft core company governance documents related to client operations and material transactions
• Communicate in a highly responsive manner and deliver high-quality work product
• Effectively communicate with all levels of the firm and with firm clients
• Develop and grow strong client relationships at all levels of the client organization
• Commit to enhancing knowledge on cutting-edge developments in corporate law
• Assist with training junior associates and support staff to further develop the team

Requirements:

• 3-6 years of experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm
• J.D. degree from an ABA-accredited institution
• Licensed attorney in good standing in Illinois, Michigan, California, or Texas; candidates outside the firm's geographic footprint interested in working remotely are also encouraged to apply
• Ability to organize and prioritize numerous tasks and complete them under significant time constraints

Education:

Juris doctorate from an ABA-accredited institution

Certifications:

Licensed attorney in Illinois, Michigan, California, or Texas
