Corporate Law Attorney

A law firm in Troy is seeking a Corporate Law Attorney with 3-6 years of experience. The successful candidate will assist firm members in representing clients in various corporate matters, including drafting and negotiating purchase agreements, handling securities law compliance matters, negotiating investment transactions, and drafting core company governance documents. The role requires effective communication, a commitment to client relationship development, and a desire to stay updated on cutting-edge developments in corporate law.

Job Details:

• Assist firm members in representing clients in general corporate matters.
• Draft and negotiate purchase agreements for clients.
• Handle and advise clients on securities law compliance matters.
• Negotiate investment transactions, both company- and investor-side.
• Draft core company governance documents related to client operations and material transactions.
• Communicate in a highly responsive manner and deliver high-quality work products.
• Effectively communicate at all levels within the firm and with clients.
• Develop and grow strong client relationships at all levels of the client organization.
• Commit to enhancing knowledge of cutting-edge developments in the attorney’s practice.
• Have experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running M&A deal processes.

Requirements:

• 3-6 years of experience in a broad corporate practice.
• J.D. degree from an ABA-accredited institution.
• Licensed Michigan attorney in good standing.
• Broad transactional experience.
• Experience in entity and fund formations, venture capital and private equity financing transactions, buy-side, and sell-side mergers, acquisitions and dispositions, negotiating material commercial agreements, and/or securities matters.
