Job Overview

A prestigious law firm in Palo Alto, CA, is seeking a mid-level Associate Attorney with a strong background in privacy, data governance, and cybersecurity-related legal frameworks. This role centers on advising companies in high-growth sectors such as AI, cloud computing, fintech, and software on transactional matters that involve complex data and regulatory concerns. The position supports high-impact corporate and technology-driven deals, including acquisitions and public offerings.

Duties

  • Advise on regulatory, commercial, and strategic issues involving data protection and security

  • Support corporate and tech-based transactions involving data-heavy operations

  • Draft and negotiate privacy and data-related components of M&A, capital markets, and technology contracts

  • Work cross-functionally with legal, engineering, and business stakeholders

  • Navigate evolving U.S. and international privacy and cybersecurity frameworks

  • Address regulatory issues in emerging technologies, including AI and machine learning

Requirements

  • 3-5 years of experience in data privacy, cybersecurity, or technology transactions within a law firm or a relevant in-house legal department

  • Demonstrated experience in corporate transactions, particularly mergers, acquisitions, and public offerings

  • Prior exposure to technology sectors or regulatory advisory work is beneficial

  • Excellent written, oral, and interpersonal communication skills

  • Strong analytical and strategic thinking capabilities

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • CIPP certification is preferred 

  • Active Bar membership in at least one U.S. jurisdiction

Skills

  • Proficiency in interpreting and applying global and domestic privacy regulations (e.g., GDPR, CCPA, HIPAA)

  • Contract negotiation and risk mitigation in data-intensive deals

  • Ability to translate technical and regulatory concepts into practical business advice

  • Exceptional research and legal drafting skills

  • Strong collaboration skills with internal and external partners
