Corporate Law Attorney

Job Overview:

A law firm seeks a highly motivated and experienced Corporate Law Attorney to join its dynamic team. The successful candidate will be key in providing legal counsel on general corporate matters, mergers and acquisitions, securities law compliance, investment transactions, and corporate governance. The attorney will be responsible for maintaining high-quality work products, fostering strong client relationships, and staying updated on industry developments.

Duties:

• Draft and negotiate purchase agreements and other relevant legal documents.
• Advise clients on securities law compliance matters.
• Handle negotiations for investment transactions from both company- and investor-side perspectives.
• Draft core company governance documents related to client operations and material transactions.
• Communicate responsively and effectively at all levels within the firm and with clients.
• Demonstrate a strong commitment to developing and nurturing client relationships.
• Stay abreast of cutting-edge developments in relevant legal areas.

Requirements:

• 3-6 years of experience as a transactional attorney in a broad corporate practice, preferably in a large or mid-sized law firm.
• J.D. degree from an ABA-accredited institution.
• Licensed attorney in good standing in Illinois, Michigan, California, or Texas.
• Broad transactional experience, including running mergers and acquisitions deal processes.
• Ability to organize and prioritize multiple tasks under significant time constraints.

Education:

• J.D. degree from an ABA-accredited institution.

Certifications:

• Licensed attorney in good standing in Illinois, Michigan, California, or Texas.

Skills:

• Strong drafting and negotiation skills.

• Ability to build and maintain strong client relationships.
