Corporate Attorney

A law firm located in Ann Arbor, MI, is seeking a Corporate Attorney with 3-6 years of experience in various aspects of corporate law, including mergers and acquisitions, securities law compliance, and corporate governance. The ideal candidate will possess strong transactional experience and a commitment to providing excellent legal services to clients.

Job Overview:

The Corporate Attorney will collaborate with firm members to represent clients in general corporate matters. This includes drafting and negotiating purchase agreements, advising on securities law compliance, negotiating investment transactions, and drafting core company governance documents. The successful candidate will demonstrate exceptional communication skills, a proactive approach to client relationships, and a dedication to staying informed about developments in corporate law.

Duties:

• Draft and negotiate purchase agreements and related documents
• Advise clients on securities law compliance matters
• Negotiate investment transactions on behalf of companies and investors
• Draft core company governance documents related to client operations and transactions
• Communicate promptly and effectively, delivering high-quality work product
• Maintain effective communication at all levels of the firm and with clients
• Cultivate and nurture strong client relationships at all levels of client organizations
• Stay updated on cutting-edge developments in relevant areas of legal practice

Requirements:

• 3-6 years of experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm
• J.D. degree from an ABA-accredited institution
• Licensed attorney in good standing in Illinois, Michigan, California, or Texas; remote work candidates are also encouraged to apply
• Ability to manage multiple tasks and meet deadlines under significant time constraints
• Willingness to assist with training junior associates and support staff

Education:

Juris doctorate from an ABA-accredited institution

Certifications:

Licensed attorney in Illinois, Michigan, California, or Texas

Skills:
