Job Overview: A law firm in New York City is seeking a Mid-Level Global Corporate Associate Attorney to join their dynamic legal team. The successful candidate will be responsible for providing legal counsel and support in mergers and acquisitions, as well as various general corporate matters. This role offers a unique opportunity to work on a wide range of international corporate transactions and to contribute to the firm's continued growth and success.

Duties:

  • Advise clients on mergers and acquisitions, joint ventures, and other corporate transactions, both domestic and international.
  • Draft, review, and negotiate complex agreements, including purchase agreements, shareholder agreements, and other transaction-related documents.
  • Conduct due diligence and risk assessment for various corporate transactions.
  • Provide general corporate legal guidance to clients, including governance, compliance, and regulatory matters.
  • Collaborate with senior attorneys and partners to develop legal strategies and solutions.
  • Manage and supervise junior associates and legal staff on assigned projects.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission within six months of employment.
  • 3-6 years of relevant legal experience in mergers and acquisitions and general corporate matters, preferably at a reputable law firm.
  • Strong analytical, research, and communication skills.
  • Demonstrated ability to handle complex legal matters and work effectively in a team environment.
  • Excellent time management and organizational skills, with the ability to meet deadlines.

Certifications:

  • Active membership in the New York State Bar Association or eligibility for admission within six months.

Skills:

  • Proficiency in legal research and writing.
  • Strong negotiation and contract drafting skills.
  • Knowledge of corporate law, securities regulations, and relevant legal frameworks.
  • Attention to detail and the ability to work under pressure.
  • Excellent interpersonal and client relationship management skills.
