Job Details:

Duties:

  • Provide legal counsel and support in mergers and acquisitions transactions involving public technology companies.
  • Advise clients on securities laws, including disclosure requirements, compliance issues, and regulatory matters pertaining to public companies.
  • Draft, review, and negotiate transactional documents, including merger agreements, asset purchase agreements, and related contracts.
  • Conduct due diligence, risk assessment, and legal research in support of M&A transactions.
  • Collaborate with clients and internal teams to ensure that transactions are conducted in accordance with relevant laws and regulations.
  • Assist in the preparation of legal opinions and memoranda on various M&A and securities law matters.

Requirements:

  • A minimum of 3-4 years of legal experience, with a focus on mergers and acquisitions, preferably in a law firm setting.
  • Outstanding academic credentials and a Juris Doctor (JD) degree from an accredited law school.
  • Active Bar admission in Massachusetts or eligibility to obtain admission promptly.
  • Strong knowledge of securities laws and regulations, with a proven track record in dealing with disclosure and compliance issues for public companies.
  • Exceptional written and verbal communication skills.
  • Ability to work collaboratively with a diverse team and effectively manage multiple tasks and priorities.
  • Strong analytical and problem-solving skills, with acute attention to detail.

Education:
