Transactional Tax Associate

Job Overview:
A respected law firm in New York is seeking a Transactional Tax Associate to join its tax practice group. This position is ideal for candidates with a strong foundation in federal income tax matters and experience in corporate and partnership taxation. The role involves working on a wide range of transactional tax issues, including fund formation, mergers and acquisitions, private equity, capital markets, and real estate transactions. Location:

• New York, NY

Duties:

• Advise on federal income tax aspects of complex transactions

• Provide tax support on fund formation and structuring

• Review private placement memoranda (PPMs) and side letters

• Conduct legal research and draft tax memoranda and advisory communications

• Assist in matters involving M&A, private equity, debt instruments, real estate, REITs, and international transactions

• Work closely with partners and deal teams on transactional matters

Requirements:

• Minimum of 2 years of tax experience with a tax LLM or 3 years without a tax LLM

• Experience in federal income tax with a focus on corporate and partnership taxation

• Exposure to fund-related matters and financial instruments

• Prior experience in a large or mid-sized law firm preferred

• Stellar academic credentials required

Education:

• Juris Doctor (JD) from an accredited law school

• Tax LLM preferred but not required

Certifications:

• Admission to the New York State Bar (in good standing)

• Strong tax research and analytical capabilities

• Excellent legal writing and communication skills

• Attention to detail and accuracy in tax analysis
