Job Overview:
A distinguished law firm based in New York City, NY, is seeking a mid-level associate to contribute to its dynamic Private Equity practice, specifically within the Debt Finance division. The role is focused on representing financial sponsors, private credit platforms, and institutional lenders in connection with complex lending structures, including leveraged buyouts, acquisition financings, and capital expansion transactions.

Duties:

  • Structure and negotiate credit facilities involving acquisition and growth capital

  • Represent private equity firms and institutional lenders in loan documentation matters

  • Draft and revise commitment letters, credit agreements, and security documentation

  • Provide legal support throughout the transaction lifecycle, from term sheet through closing

  • Coordinate with internal and external teams on due diligence and deal execution

  • Advise clients on legal risks and strategies associated with debt financing transactions

Requirements:

  • Relevant experience in a law firm setting focused on debt finance or private equity transactions

  • Demonstrated expertise in both sponsor-side and lender-side leveraged finance deals

  • Proficiency with drafting complex loan and collateral documentation

  • Clear and concise communication style, with strong client-facing capabilities

  • Licensed to practice law in New York or eligible to obtain admission promptly

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

Certifications:

  • Admission to the New York State Bar (or immediate eligibility required)

Skills:

  • In-depth understanding of U.S. leveraged finance structures

  • Strong drafting, negotiation, and analytical skills

  • Collaborative approach to working with legal and business professionals

  • Detail-oriented with the ability to manage multiple workstreams under tight deadlines
