A law firm in Tampa is currently seeking an Employee Benefits and Executive Compensation Attorney with 4-6 years of experience. The ideal candidate will have significant expertise in all facets of employee benefits and executive compensation counseling, particularly in the context of mergers, acquisitions, and divestitures. The Employee Benefits and Executive Compensation Attorney will play a crucial role in providing comprehensive counsel on employee benefits and executive compensation matters. This includes addressing issues related to retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans. The candidate will also contribute expertise in areas such as research, compliance strategies, due diligence, purchase agreement review, plan terminations, benefits integration, and various IRS and Department of Labor correction program filings.

 

Job Details:

  • Provide significant experience in employee benefits and executive compensation counseling.
  • Counsel on benefits and compensation issues in mergers, acquisitions, and divestitures
  • Research tax and ERISA issues affecting the design and operation of retirement plans
  • Research tax and ERISA issues affecting welfare and fringe benefit plans
  • Research tax and ERISA issues affecting compensation arrangements and executive agreements and plans
  • Review statutory and regulatory changes and assist with compliance strategies
  • Assist with due diligence, purchase agreement review, plan terminations, and benefits integration in corporate transactions
  • Draft employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements
  • Complete IRS and Department of Labor correction program filings
  • Preferred experience with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance

 

Experience:

4-6 years of experience in Employee Benefits and Executive Compensation

 

Requirements:

  • Juris Doctor (J.D.) from an accredited law school
  • Admitted to practice law in the state of Arizona

 

Skills:

  • Significant experience in employee benefits and executive compensation counseling
  • Strong research skills on tax and ERISA issues
  • Drafting skills for various legal documents
  • Compliance strategy development
  • Due diligence and purchase agreement review skills
