Corporate (Fund Formation) Associate Attorney

A law firm is seeking a Corporate (Fund Formation) Associate Attorney in New York City. The Associate Attorney will collaborate with private equity sponsors and investors on the structuring, formation, and operation of private investment funds. Additionally, they will handle legal, regulatory, and compliance matters faced by fund sponsors. The ideal candidate must have fund formation experience and possess excellent written and verbal communication skills.

Duties:

• Assist in the formation and structuring of private investment funds.
• Draft and review fund documents, including limited partnership agreements, subscription agreements, and private placement memoranda.
• Conduct due diligence on fund structures and regulatory compliance.
• Advise clients on legal and regulatory requirements affecting private investment funds.
• Assist with fund closings and ongoing operational matters.
• Collaborate with partners and senior associates on fund formation projects.
• Stay updated on industry trends and regulatory changes affecting private equity and investment funds.
• Provide legal support on related corporate transactions, such as mergers and acquisitions involving fund entities.

Requirements:

• Juris Doctor (J.D.) or LL.M. from an ABA accredited law school.
• Admitted to the New York State Bar.
• 3-4 years of fund formation experience at a law firm.
• Strong understanding of private investment fund structures and related legal issues.
• Excellent written and verbal communication skills.
• Ability to work effectively in a fast-paced, collaborative environment.
• Detail-oriented with strong analytical and problem-solving skills.
• Familiarity with SEC regulations and fund compliance requirements.

Education:

Juris Doctor (J.D.) or LL.M. from an ABA accredited law school.

Certifications (if applicable):

Admission to the New York State Bar.

Skills:

• Proficiency in drafting fund documents and agreements.
• Knowledge of fund governance and compliance practices.
• Ability to analyze complex legal and financial issues.
• Strong project management skills.
• Experience with private equity transactions is a plus.
