Associate Attorney needed for New York City office

A law firm in New York City, NY, is seeking an Associate Attorney to provide legal counsel to private equity funds and their portfolio companies, primarily focusing on complex acquisitions, growth investments, and general corporate matters. The ideal candidate will have substantial experience in private equity transactions, possess strong negotiation and drafting skills, and be capable of managing multiple aspects of transactions while working both independently and collaboratively within a team.

Duties:

• Advise private equity funds and their portfolio companies on complex public and private acquisitions, growth investments, and related transactions.
• Draft and negotiate transactional agreements related to acquisitions, investments, and dispositions.
• Provide counsel on general corporate matters, including governance and securities law compliance.
• Work collaboratively within teams and independently manage various aspects of transactions.
• Prioritize and manage tasks effectively in a fast-paced, deadline-driven environment.

Requirements:

• 4-6 years of legal experience, with a significant focus on representing private equity sponsors in acquisitions, dispositions, and financings.
• Current experience as an associate at a law firm with a substantial focus on private equity transactions, including representing private equity and strategic investor clients in merger and acquisition transactions.
• Proven expertise in drafting and negotiating private equity documents.
• Experience advising clients on cross-border transactions.
• Exceptional ability to manage multiple priorities in a fast-paced environment.

Education and Certifications:

• J.D. degree from an accredited law school or equivalent.
• Admission, in good standing, to practice law in the state of New York.
