Job Overview:
A distinguished law firm based in New York City, NY, is seeking a mid-level associate attorney with 3-5 years of in-depth experience in transactional law, particularly focusing on project finance, structured asset-based finance, and non-recourse lending. The role centers around clean energy and climate infrastructure deals, involving a variety of complex financial instruments and joint ventures. The associate will work in a collaborative team environment alongside experienced attorneys and receive direct mentoring from senior professionals. This opportunity offers direct client engagement with innovative energy clients ranging from early-stage ventures to global infrastructure investors.

Duties:

• Structure and negotiate project finance transactions for renewable energy initiatives

• Represent sponsors, developers, lenders, borrowers, and institutional investors in financial agreements

• Advise on secured lending arrangements, tax equity structures, and joint venture entities

• Draft and review complex commercial contracts related to climate and clean energy infrastructure

• Collaborate with partners and other team members across offices on cross-functional matters

• Manage aspects of deal execution from term sheet to closing

• Engage in client development and contribute to thought leadership in the energy sector

Requirements:

• 3-5 years of transactional legal experience at a major or well-regarded law firm

• Proven expertise in project finance, structured finance, or asset-based lending

• Hands-on experience working on tax equity, LLC finance structures, and joint ventures

• Familiarity with clean energy or climate-related infrastructure is strongly preferred

• Strong negotiation and legal drafting skills

• Excellent analytical and communication abilities

• Commitment to professional excellence and client service

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the Bar in at least one U.S. jurisdiction (New York preferred)

Skills:

• Advanced legal writing and contract negotiation

• Financial structuring and transaction management

• Detail-oriented with strong organizational skills

• Ability to work both independently and in collaborative team settings

• Familiarity with industry-standard financing models and legal frameworks in energy finance
