Corporate Associate Attorney

A law firm in Jacksonville is seeking a Corporate Associate Attorney with 2-5 years of corporate transactions experience. The ideal candidate will have a strong background in corporate transactions, particularly in public or private company M&A and related corporate matters. The role involves representing clients in M&A transactions, drafting contracts, advising on business and legal transactions, performing due diligence, and assisting with financing and debt transactions.

Duties:

• Represent clients in M&A transactions with an emphasis on public or private company M&A.
• Prepare and draft contracts for various corporate transactions.
• Advise clients on business and legal transactions, including private equity, venture capital, and public and private financings.
• Perform due diligence for corporate transactions.
• Assist with financing and debt transactions.

Requirements:

• 2-5 years of corporate transactions experience.
• Experience in public or private company M&A and related corporate matters.
• Excellent academic credentials.
• Exemplary oral and written communication skills.
• Membership in good standing with The Florida Bar is preferred.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Membership in good standing with The Florida Bar is preferred.

Skills:

• Strong understanding of corporate transactions, with a focus on M&A.
• Proficient in contract drafting and negotiation.
• Excellent oral and written communication skills.
• Ability to perform due diligence effectively.
