Job Overview

A prestigious national law firm is seeking an Executive Compensation & Employee Benefits Associate to join its team in New York. The ideal candidate will have 2 to 4 years of experience, preferably in a large firm environment, working on matters involving qualified retirement plans, equity compensation, executive agreements, and benefits-related aspects of transactions. This opportunity is suited for attorneys looking to be part of a collaborative, sophisticated tax and benefits practice advising on a range of complex and high-value corporate transactions.

Duties

  • Advise clients on the design, implementation, and compliance of executive compensation and employee benefit programs

  • Draft and review employment agreements, incentive and equity plans, and severance arrangements

  • Address compensation and benefits issues in connection with corporate transactions, including:

    • Mergers and acquisitions

    • Carve-out transactions

    • Initial public offerings (IPOs)

    • Spin-offs

  • Counsel on ERISA compliance and tax implications under the Internal Revenue Code

  • Collaborate with attorneys across practice groups on multidisciplinary matters

  • Conduct due diligence and prepare transaction-related documentation

Requirements

  • 2–4 years of experience in executive compensation and employee benefits law

  • Prior experience at a large law firm is preferred

  • Strong working knowledge of tax and regulatory issues relating to employee benefits and executive compensation

  • Experience advising on compensation-related issues in M&A or other corporate transactions

Education

  • Juris Doctor (JD) from an accredited law school

  • Strong academic credentials required

Certifications

  • Admission to practice law in New York (or ability to obtain admission promptly)

Skills

  • Strong legal research, drafting, and analytical skills

  • Excellent communication and client service capabilities

  • Detail-oriented with the ability to manage multiple complex matters

  • Collaborative mindset and ability to contribute to a national team
