Job Overview:
A nationally recognized law firm is seeking an experienced Counsel to join its Pensions, Benefits & Investments practice group. This position is designed for an attorney with 8+ years of experience advising on private fund investments across various asset classes and/or public market transactions. The role requires a high level of autonomy and offers the opportunity to lead sophisticated transactional matters for both fund managers and institutional investors. Ideal candidates will have exceptional academic credentials, a business-oriented mindset, and the ability to manage multiple high-level projects simultaneously.

Location:

  • Lo Angeles, CA

Duties:

  • Advise clients on private funds and public market investments

  • Draft, negotiate, and review fund documents, side letters, and related agreements

  • Represent both fund managers and investors in complex transactional matters

  • Oversee deal execution and take ownership of significant legal projects

  • Collaborate with cross-office teams to deliver comprehensive investment solutions

  • Maintain client relationships and provide strategic legal guidance

  • Ensure regulatory compliance with relevant fiduciary and investment laws

Requirements:

  • Minimum of 8 years of experience in investment, benefits, pensions, or funds practice

  • Hands-on experience with various private fund structures and asset classes

  • Strong transactional experience with both investor-side and manager-side engagements

  • Ability to work independently and handle multiple complex transactions

  • Willingness to take leadership over major deals and drive initiatives forward

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic background preferred

Certifications:

  • Active and in good standing with the Bar in the state where the candidate will be located

Skills:

  • Deep understanding of private fund investments and securities regulations

  • Exceptional legal drafting and negotiation skills

  • Excellent analytical and communication abilities

  • Ability to manage multiple priorities in a deadline-driven environment
