Job Details:

  • Counsel a diverse range of exempt organizations, including private foundations and public charities, on matters related to structure and formation, charitable gift planning, transactional issues, and strategies for managing unrelated business taxable income.
  • Handle tax structuring and forming various business entities, including registration with tax and regulatory agencies.
  • Draft and revise operating agreements and other governance documents for business entities.
  • Serve as corporate counsel for nonprofit organization clients.
  • Represent exempt organization clients in legal proceedings before the Office of the Attorney General, Internal Revenue Service, Department of Revenue Services, Probate Courts, and other relevant authorities.
  • Provide advice on the structure and tax-related aspects of venture philanthropy collaborations, donor-advised funds, private foundations, and corporate initiatives.

Requirements:

  • A minimum of 7 years of relevant experience in Tax Law.
  • Strong academic credentials with a focus on tax-related coursework.
  • Excellent writing and analytical skills.
  • Previous large-firm or equivalent experience.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Connecticut Bar.

Certifications:

  • Admission to the Connecticut Bar.

Skills:

  • In-depth knowledge of tax law, particularly in the nonprofit sector.
  • Expertise in counseling exempt organizations on various legal and tax-related matters.
  • Proficiency in drafting and revising legal documents, including operating agreements.
