A law firm is seeking a Hedge Funds Associate Attorney with 6+ years of experience.

Job Overview:

The Hedge Funds Associate Attorney will be responsible for providing legal counsel and support to hedge funds, funds of funds, private investment funds, and related entities. This role involves structuring, organizing, and representing various investment funds, advising on fund formation, regulatory compliance, and transactional matters.

Duties:

  • Structure, organize, and represent hedge funds, funds of funds, and other private investment funds, both domestic and offshore.
  • Advise funds and their managers on a range of matters including formation, structuring, marketing, portfolio management, and operational issues.
  • Draft and negotiate fund documentation such as private placement memoranda, fund agreements, subscription agreements, advisory agreements, and placement agreements.
  • Manage fundraises from launch to close, including client interfacing, investor negotiation, and closing mechanics.
  • Ensure compliance with federal securities laws, including the Investment Advisers Act and Regulation D offering requirements.
  • Provide expertise on exemptions to the Investment Company Act.

Requirements:

  • 6+ years of experience in hedge fund representation and related legal matters.
  • Extensive experience in private fund formation and structuring.
  • Strong understanding of federal securities laws and regulations.
  • Prior experience in a large law firm setting.
  • In-house or regulatory experience is a plus.

Education & Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar (or ability to become admitted).
  • Any relevant certifications in securities law or investment management would be advantageous.

Skills:

  • Excellent drafting and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Effective communication and interpersonal skills.
  • Ability to manage multiple projects and deadlines simultaneously.
