The Transactions And Corporate Counseling Associate Attorney will primarily focus on corporate and business transactions, emphasizing Delaware business entities' structure and utilization, such as corporations, limited liability companies, limited and general partnerships, and statutory and common law trusts. Additionally, the candidate will be responsible for drafting third-party legal opinions concerning Delaware’s General Corporation Law, Delaware’s alternative entity statutes, and the Delaware Uniform Commercial Code.

Duties:

  • Handle corporate and business transactions, including structuring and advising on using various Delaware business entities.
  • Draft third-party legal opinions regarding Delaware’s corporate and commercial laws.
  • Provide legal counsel and advice on matters related to Delaware business entities.
  • Conduct legal research and analysis to support transactional and counseling activities.
  • Collaborate with colleagues and clients to achieve strategic objectives.

Requirements:

  • Minimum of 4-5 years of experience in alternative entity transactions.
  • Strong written and oral communication skills.
  • Experience practicing law in the District of Delaware.
  • Admitted to the Delaware Bar.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admittance to the Delaware Bar.
