Job Overview

A law firm seeks a talented and experienced transactional/corporate senior associate attorney or junior partner in Atlanta, GA. This role involves complex transactional work for high-net-worth families and their businesses, focusing on sophisticated legal matters and innovative solutions.

Duties

  • Lead and support major transactions, including company sales, mergers, acquisitions, and restructurings.
  • Design and implement sophisticated entity structures and governance arrangements.
  • Draft and negotiate complex buy-sell, operating, and shareholder agreements.
  • Provide strategic counsel to family offices on entity formation and investment structures.
  • Support real estate entity formations and related financing transactions.
  • Review and approve corporate documents prepared by paralegals.
  • Develop innovative solutions for ownership restructuring and tax-efficient structures.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license and in good standing to practice law in Atlanta, GA.
  • 6-8+ years' experience in corporate/transactional law in a law firm environment.
  • Strong expertise in complex M&A transactions and deal structuring.
  • Ability to manage multiple complex transactions simultaneously.
  • Excellent analytical, communication, and interpersonal skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active license to practice law in Atlanta, GA.
