Job Overview:
A distinguished law firm based in Newport Beach, CA, is seeking a mid-level associate with hands-on experience in corporate and transactional matters. The ideal candidate will support a broad range of sophisticated corporate transactions, mergers, acquisitions, and joint ventures. This role offers an opportunity to work with a dynamic team in a fast-paced legal environment while advising clients on complex business dealings.

Duties:

  • Handle structuring, negotiation, and execution of corporate transactions, including M&A, financing, and strategic partnerships

  • Draft, revise, and review commercial agreements such as shareholder agreements, term sheets, investor rights documents, and similar corporate instruments

  • Collaborate with senior attorneys and clients on all aspects of corporate governance and regulatory compliance

  • Conduct legal due diligence for proposed transactions

  • Support clients through all stages of business lifecycle activities

  • Coordinate with internal and external stakeholders on multifaceted legal issues

Requirements:

  • 3-5 years of relevant experience focused on corporate law, including mergers and acquisitions, private placements, and joint ventures

  • Demonstrated ability to manage multiple transactions and deadlines independently

  • Clear and strategic legal reasoning with meticulous attention to detail

  • Proficient in communicating legal advice effectively to clients and colleagues

Education:

  • Juris Doctor (JD) from a nationally recognized law school

Certifications:

  • Active and in good standing with the State Bar of California

Skills:

  • Excellent drafting and negotiation abilities

  • Exceptional analytical and problem-solving capabilities

  • Strong interpersonal communication skills

  • Capable of adapting to shifting priorities in a deadline-driven environment
