Job Title: Mid-level Corporate Mergers And Acquisitions Associate Attorney

Job Overview:
A respected law firm located in Charleston, SC is seeking a driven and detail-oriented mid-level associate to join its Corporate Mergers & Acquisitions practice group. The ideal candidate will bring 3–5 years of transactional experience, particularly with private equity transactions and complex deal structuring. This position offers an opportunity to work closely with senior attorneys on a wide range of business transactions while developing substantive client advisory skills and leadership within the practice.

Duties:

  • Draft, revise, and negotiate key transaction documents including:

    • Merger agreements

    • Stock and asset purchase agreements

    • Letters of intent and related corporate documents

  • Structure and execute joint ventures and partnership arrangements

  • Prepare and review limited liability company operating agreements

  • Manage and close a variety of business transactions, especially M&A deals

  • Conduct thorough due diligence assessments and identify potential risks

  • Counsel clients on general entity formation and corporate governance matters

  • Collaborate with internal and external teams to manage multiple deals simultaneously

Requirements:

  • 3-5 years of post-JD legal experience focused on corporate M&A

  • Demonstrated exposure to private equity-backed deals

  • Proven ability to handle complex transactions with minimal supervision

  • Excellent drafting, negotiation, and analytical abilities

  • Strong interpersonal skills with a collaborative mindset

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

Certifications:

  • Admission to the South Carolina Bar, or eligibility for waiver/admission

Skills:

  • In-depth knowledge of business acquisition structures and corporate law

  • Strong legal research and written/oral communication skills

  • Capable of managing deal flow in fast-paced, deadline-driven environments

  • Team-oriented with initiative and the ability to work independently

  • Familiarity with private equity investment structures is advantageous
