Job Overview:
A prestigious law firm is seeking an experienced Associate Attorney to join the CLO team within the Asset Securitization Department in their New York office. The ideal candidate will have 3-6 years of experience in securitization or structured finance transactional work. This position offers the opportunity to work on complex structured financing transactions, including CLO offerings and warehouse lending transactions, while gaining exposure to the evolving regulatory landscape in financial services.

Duties:

  • Draft offering and transaction documents for CLO offerings, warehouse lending transactions, bilateral financing facilities, and other structured lending arrangements.
  • Manage and assist in complex structured financing transactions.
  • Review and analyze financing statements and possess working knowledge of the UCC.
  • Ensure compliance with federal securities laws, including the Dodd-Frank Act and financial crisis regulatory initiatives (e.g., ’33 Act, ’34 Act, Volcker Rule, Risk Retention Rules, ’40 Act).
  • Review and draft legal opinions related to securitization transactions.
  • Work with bankruptcy law as it pertains to securitization.
  • Participate in negotiations and provide legal counsel to clients regarding structured finance matters.
  • Manage multiple transactions simultaneously and efficiently handle competing work demands.
  • Communicate with clients, regulators, and internal teams effectively.
  • Prepare and review legal documents, perform legal research, and advise on regulatory compliance.

Requirements:

  • 3-6 years of experience in securitization or structured finance transactional work.
  • Strong knowledge of structured finance, CLO offerings, and warehouse lending transactions.
  • Familiarity with federal securities laws and regulatory matters related to structured finance.
  • Experience with bankruptcy law as it applies to securitization.
  • Impressive academic credentials.
  • Strong interpersonal, analytical, and communication skills.
  • Ability to efficiently handle multiple transactions and competing work demands.
  • Available to work during non-standard hours when necessary.
  • Ability to work long hours when required.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic performance is required.

Certifications:

  • Must be a member in good standing of the New York Bar.

Skills:

  • In-depth understanding of CLO offerings, warehouse lending, and structured finance transactions.
  • Familiarity with UCC and financing statements.
  • Knowledge of regulatory requirements under the Dodd-Frank Act and related financial regulations.
  • Experience with legal opinions and bankruptcy law as it pertains to securitization.
  • Exceptional written and oral communication skills.
  • Strong organizational, research, and drafting skills.
  • Negotiation and client management skills.
