Job Overview:

A prominent law firm is seeking experienced corporate attorney to join its offices in Maryland. The ideal candidates will have at least 3 years of experience in corporate law, mergers and acquisitions, fund formation, finance, and/or securities. Duties:

  • Provide legal advice and support on corporate transactions, including mergers and acquisitions, fund formation, finance, and securities.
  • Draft and review corporate documents, including agreements, contracts, and other transactional materials.
  • Conduct due diligence in corporate transactions.
  • Negotiate and facilitate deal structures, working with clients and other legal professionals.
  • Collaborate with colleagues across offices and departments on complex matters.
  • Ensure compliance with relevant laws and regulations in the corporate and securities domains.

Requirements:

  • Minimum of 3 years of experience in corporate law, mergers and acquisitions, fund formation, finance, and/or securities.
  • Admission to the bar in the relevant jurisdiction (Delaware, Florida, Maryland, New Jersey, New York, or Texas).
  • Strong academic credentials.
  • Excellent oral and written communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in the relevant jurisdiction.

Skills:

  • Proficiency in corporate, securities, M&A, and finance law.
  • Strong negotiation and drafting skills.
  • Ability to work collaboratively within a team and independently.
  • Detail-oriented with excellent organizational and analytical skills.
