A law firm is currently seeking a Mid-level M&A and Private Equity Associate Attorney for their office in Chicago, IL. The Associate Attorney will be responsible for handling a range of M&A and private equity transactions, focusing on capital formation, partnerships, and finance. The ideal candidate must have 3-6 years of transactional experience, with a specific emphasis on representing financial sponsors and strategic buyers/sellers in various transactions.

 

Duties:

  • Manage and lead the negotiation and drafting of acquisition/disposition agreements.
  • Oversee the preparation of closing documents and ensure compliance with legal requirements.
  • Conduct due diligence on potential transactions, identifying risks, and providing strategic advice.
  • Collaborate with clients, financial advisors, and other parties involved in transactions.
  • Stay informed about legal and regulatory developments related to M&A and private equity.

 

Requirements:

  • Admitted to the Illinois Bar.
  • 3-6 years of M&A and private equity transactional experience.
  • Experience representing financial sponsors and strategic buyers/sellers.
  • Strong knowledge of capital formation, partnerships, and finance.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the Illinois Bar.

 

Skills:

  • Excellent negotiation and drafting skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and as part of a collaborative team.
  • Exceptional communication and interpersonal skills.
  • Experience with capital formation, partnerships, and finance would be highly beneficial for this role.
  • Should be well-versed in leveraged buyouts, sell-side transactions, growth equity, and minority investments, as well as related strategic transactions. The ability to efficiently manage transactions from start to finish, including closing transactions, is a key aspect of this role.
