Duties:

  • Review, draft, and negotiate various principal and ancillary agreements for commercial transactions, including supply, purchase, service, transportation, and related contracts.
  • Provide pragmatic counsel to clients on corporate matters, ensuring legal compliance and optimal business outcomes.
  • Collaborate with partners and other team members on complex corporate transactions, including mergers and acquisitions.
  • Conduct legal research and analysis to support client matters and stay updated on relevant legal developments.
  • Assist in due diligence processes and transactional closings, ensuring accuracy and efficiency.
  • Handle administrative tasks related to client matters, including document management and file organization.

Requirements:

  • A bachelor's degree in law or a related field, as well as a Juris Doctor (JD) degree from an accredited law school, is preferred.
  • Admission to the South Carolina State Bar or eligibility for admission through reciprocity.
  • 3-5 years of corporate transactional experience, focusing on mergers and acquisitions preferred.
  • Strong business acumen and the ability to grasp complex business concepts quickly.
  • Excellent written and verbal communication skills, with the ability to articulate legal concepts clearly and effectively.
  • Detail-oriented with strong analytical and problem-solving skills.
